Coaching Agreement
Chelsea Flynn Coaching (“Coach”) provides Coaching Services to clients, focusing on mutually agreed-upon goals. By engaging in these services, you (“Client”) acknowledge and agree to the terms and conditions outlined on this page. By ticking the box to agree to these terms, you confirm your acceptance of this Agreement, effective upon the start of your first coaching session or service purchase.
Description of Coaching
Coaching is a partnership (defined as an alliance, not a legal business partnership) between the Coach and the Client in a thought-provoking and creative process designed to inspire the Client to maximize personal and professional potential. It facilitates the creation and development of personal, professional, or business goals and the execution of a strategy/plan to achieve those goals. Coaching is not therapy, counseling, psychotherapy, or medical treatment and does not diagnose, treat, or prevent mental disorders or medical conditions. Coach-Client Relationship
1.1. Coach Responsibilities
The Coach agrees to adhere to the ethics and standards of behavior outlined in the Coach’s Code of Conduct, available upon request.
1.2. Client Responsibilities
The Client is solely responsible for their physical, mental, and emotional well-being, decisions, actions, and results arising from the coaching relationship. The Client agrees that the Coach is not liable for any actions, inactions, or outcomes of the services provided.
1.3. Nature of Coaching
The Client acknowledges that coaching is not a substitute for therapy, counseling, or professional medical, legal, or financial advice. If under the care of a mental health professional, the Client must inform their provider of this coaching relationship.
1.4. Client Commitment
The Client agrees to communicate honestly, be open to feedback, and dedicate time and energy to fully participate in the coaching process.
1.5. Termination Rights
The Client may terminate the coaching relationship at any time, subject to the terms in Section 9 (Termination) and Section 7 (Cancellation and Refund Policy).Services
All sessions for all services are conducted virtually. The Coach offers the following services, as selected by the Client via the website:
The Coach is available for communication during business hours (Monday to Saturday) via email, WhatsApp, or voicemail, with additional services (e.g., document review) subject to written agreement. Payment Terms
3.1. Payment Method
All payments must be made via the website using a debit or credit card. No cash or cheque payments are accepted.

1:1 Life Transformation Programme, Corporate Training, Online Programmes, Events, and Ad Hoc Coaching Calls require full payment upfront. Become a Member of the Transformation Tribe is billed monthly via recurring payments.
3.5. Payment Failure
If a Become a Member of the Transformation Tribe payment declines or fails, the Client’s access to services, including live virtual sessions, will be terminated immediately until payment is restored.Schedule and Procedure
4.1. Scheduling
The time of virtual coaching sessions will be mutually agreed upon by the Coach and Client.
4.2. Contact
For scheduled virtual calls, the Client will initiate contact with the Coach via the agreed platform (e.g., video conferencing link) or at +1 (345) 325-3924 if specified. The Coach will provide necessary details prior to the appointment.
4.3. Availability
The Coach’s availability for additional communication outside scheduled sessions is limited to business hours (Monday to Saturday) via agreed methods.

5.1. Confidentiality Commitment
The Coach agrees to maintain confidentiality of all information shared by the Client, as per the Coach’s Code of Conduct and the Cayman Islands Data Protection Law (2021 Revision), except as outlined below.
5.2. Non-Privileged Relationship
The Coach-Client relationship is not legally privileged (unlike medical or legal professions). The Coach will not disclose Client information without written consent, except in cases where:

The Client must raise any confidentiality concerns with the Coach promptly.
5.4. Professional Development
The Coach may anonymously and hypothetically discuss coaching topics with other professionals for training, supervision, or consultation purposes, without disclosing Client identity.
5.5. Credential Verification
The Coach may share the Client’s name, contact information, and coaching start/end dates with coaching institutions for credential verification, if required. No personal notes will be shared.
6. Cancellation and Refund Policy
6.1. General Policy
All services are non-refundable. Payments are final, and no refunds will be issued under any circumstances.
6.2. 1:1 Life Transformation Programme
Paid upfront and tailored to the Client. Cancellations are not permitted, and no refunds are issued due to the programme’s personalized nature and reserved spot. If a Client misses a session and it cannot be rescheduled within the same week, the session is deemed used and forfeited.
6.3. Become a Member of the Transformation Tribe
Clients must provide written notice at least one (1) month prior to the next billing cycle to cancel. No refunds are issued for payments made, including partial months. Clients are responsible for attending regularly scheduled sessions; missed sessions are not rescheduled or refunded.
6.4. Corporate Training
Sessions may be rescheduled at the Coach’s discretion, subject to availability. A credit for a future session may be provided, but no refunds are issued.
6.5. Online Programmes
Self-paced and non-refundable. No refunds are issued once access is granted.
6.6. Events
Tickets are non-refundable. No refunds or credits are provided for client cancellations.
6.7. Ad Hoc Coaching Calls
Non-refundable and non-cancellable once payment is made.
6.8. Missed Appointments
Clients must notify the Coach at least 24 hours in advance of scheduled virtual sessions. The Coach reserves the right to charge the full session fee for missed appointments. For 1:1 Life Transformation Programme, missed sessions not rescheduled within the same week are forfeited (see Section 6.2). For Become a Member of the Transformation Tribe, missed sessions are the Client’s responsibility (see Section 6.3). Rescheduling, where applicable, is subject to availability, with no refunds issued.
7. Intellectual Property
All materials, resources, and content provided or distributed by the Coach, including but not limited to worksheets, videos, guides, and session recordings, are the exclusive property of Chelsea Flynn Coaching. Clients may not copy, reproduce, distribute, share, or use these materials for any purpose other than personal use within the coaching programme, without prior written consent from the Coach.
8. Record Retention
The Coach will retain records, documents, and data related to the coaching relationship in print or digital format for a minimum of two (2) years, in compliance with applicable laws.
9. Termination
9.1
Either party may terminate this Agreement with one (1) week’s written notice.
9.2
The Client agrees to compensate the Coach for all services rendered up to the effective termination date.
9.3
Become a Member of the Transformation Tribe cancellations require one (1) month’s notice, as per Section 6.3.
9.4
Non-payment or payment failure for Become a Member of the Transformation Tribe results in immediate termination, as per Section 3.5.
10.1
The Coach makes no guarantees, representations, or warranties regarding the outcomes of coaching services, except as expressly stated in this Agreement.
10.2
The Coach shall not be liable for any indirect, consequential, or special damages. The Coach’s total liability is limited to the amount paid by the Client for services rendered up to the termination date.
10.3
The Client acknowledges that coaching results depend on their active participation and implementation of strategies discussed.
11. Entire Agreement
This Agreement constitutes the complete understanding between the Coach and Client, superseding all prior agreements, whether written or oral. Amendments must be in writing and agreed to by both parties.
12. Dispute Resolution
If a dispute arises, the parties agree to attempt good-faith mediation for up to 30 days after written notice. If unresolved, legal action may proceed, with the prevailing party entitled to recover attorney’s fees and court costs under Cayman Islands law.
13. Severability
If any provision of this Agreement is found invalid or unenforceable, the remaining provisions remain valid. Invalid provisions will be reformed to the extent necessary to become enforceable.
14. Waiver
Failure to enforce any provision does not constitute a waiver of that provision or limit future enforcement.
15. Applicable Law
This Agreement is governed by the laws of the Cayman Islands, without regard to conflicts of law principles.
16. Binding Effect
This Agreement binds the parties, their successors, and permissible assigns. By ticking the box to agree to these terms, you confirm your acceptance of this Agreement, effective upon the start of your first coaching session or service purchase.
